9 Appendix A: Interpretation

In this document, unless the context otherwise requires, the following terms have the meanings indicated:

Agency

"Agency" means either a department as defined in the Public Finance Act 1989; a Crown Entity as defined in Schedule 4 of the Public Finance Act 1989 with the exception of Boards of Trustees constituted under Part IX of the Education Act 1989; or an Office of Parliament as defined in the Public Finance Act 1989.

Archive

"Archive" means to store Data off-line in long term storage on electronic media, such that the Data can be restored in a controlled manner to the System.

Audit

"Audit" means that a System Function must create an Audit Stamp.

Audit Stamp

"Audit Stamp" means Data fields in a record indicating when the Data in that record was created, updated, or deleted; containing the time of day, the date including century, and the identification of the User, recorded in a manner that is secure as would satisfy a court of law in New Zealand.

Audit Trail

"Audit Trail" means a mechanism for selectively reconstructing the sequence of a particular event or series of related events within the System.

Catalogue

"Catalogue" means an electronic list of goods and services in an appropriate data format, which can be used for the purposes of completing required System Functions.

Concurrent User

"Concurrent User" means all those Users utilizing the System (e.g. searching, reading, updating etc) at a particular point in time.

Custom Software

"Custom Software" means the computer programs and associated documentation which are to be developed by the Vendor under the agreement.

Data

"Data" means that data which is input to or stored on the System or any part thereof and includes Agencies' and Suppliers' computer records, tables, indices and parameters.

Deliverables

"Deliverables" means, as the context shall require, any or all of the Equipment, the Software, Facilities Management Services, Additional Services, documentation and such other products, services, facilities and obligations as shall be supplied or required to be performed by the Vendor.

Development Tools

"Development Tools" means, as the context shall require, all or any of the computer programs comprising the software-analysis, design, development and testing tools (including in each case such Documentation as is reasonably necessary to enable the SSC, Agencies and Suppliers to make effective use of the aforesaid tools) which are used by the Vendor in the development and implementation of the Custom Software.

Development Work

"Development Work" meanssoftware development work to create or enhance the Custom Software or to effect Packaged Software Modifications that the Vendor is required to undertake.

Documentation

"Documentation" means such written instructions, manuals or comments on paper or magnetic media or on any other medium acceptable to the SSC, Agencies or Suppliers as shall be reasonably necessary to enable the SSC, Agencies or Suppliers to be able to properly install the Revisions and Versions and to make full and effective use of the Deliverables in satisfaction of the Requirements. The documentation will include functional descriptions of the Equipment and the Software, operating instructions for use of the Equipment and the Software and materials to support the Additional Services.

Equipment

"Equipment" means, as the context shall require, each or all of the computer and telecommunications hardware and associated documentation (and where the context also requires, the items, units or modules of them), which is supplied by or through the Vendor from time-to-time under the agreement and includes, where the context so requires, the Software executing thereon.

GST

"GST" means goods and services tax payable in accordance with the Goods and Services Tax Act 1985;

Interface

"Interface" means (as the context shall require) the exchange of Data between the System and Operational Systems of the Suppliers or Agencies.

Licensed Users

"Licensed Users" means those Users authorised to run the associated Software.

Operating System

"Operating System" means the main control programs that run a computer. It includes all Revisions and Versions of those programs (and where the context so permits any items, units or modules of them) in machine-executable object code together with any firmware in which such code is stored, and includes all Documentation associated with the programs the subject of this definition.

Operational System

"Operational System" means any business system and associated environment used by an Agency or Supplier apart from the System.

Packaged Software

"Packaged Software" means, as the context shall require, each or all of the computer programs and Documentation including Revisions and Versions of those programs (and where the context also requires, the items, units or modules of them) in machine executable object code (and in Source Code where provision for such is made in the agreement) which are licensed, sublicensed or otherwise made available to the SSC, Agencies and Suppliers by or through the Vendor. Package software excludes Custom Software and Shrink Wrapped software.

Packaged Software Modifications

"Packaged Software Modifications" means each or all, as the context shall require, of the computer programs in whole or in part in machine-executable object code (and in Source Code where provision is made for such in the agreement) and Documentation which provide or contain new features or new functions to modify or enhance the Packaged Software, which are developed to the order of the SSC by or through the Vendor from time-to-time and which are licensed, sublicensed or otherwise made available to the SSC, Agencies and Suppliers.

Party

"Party" means the Vendor, Subcontractors, the SSC, Agencies or Suppliers as the context shall require.

Performance Standards

"Performance Standards" means the Response Time Standards, the Interface Throughput Standard, and, where the context so requires, any one or more of the service level standards in sections 12 and 13.

Real-Time

"Real-Time" means an event or series of events within the System that takes place immediately (in accordance with relevant Performance Standards) following the initiation of that event or series of events at the User Interface.

Requirements

"Requirements" means the functional, operational, performance and other requirements for the Deliverables as set out in the RFP.

Response Time

"Response Time" means the time which elapses between completion of the initiation of a particular System Function or series of related System Functions within the System and the completion of that System Function or series of related System Functions by the System.

Response Time Standards

"Response Time Standards" means the standards which are set out in the Requirements.

Revision

"Revision" means an improvement made to the Custom or Package Software by the Vendor which remedies faults or which provides minor functionality improvements.

RFP

"RFP" means:

a) This document as modified by correspondence attached as addenda; and

b) All supplementary material expressed in writing by the SSC to the Vendor.

Security Profile

"Security Profile" means the consistent level of access to the System, associated with a User ID or Group of User IDs, according to:

a) The operations that may be performed within a configuration;

b) Their branch, section, or region;

c) Each item, unit, or module of the business application software;

d) The operations that may be performed on the Data;

e) The operations that may be performed with business application software; or

f) Any combination thereof.

Shrink Wrapped Software

"Shrink Wrapped Software" means, as the context shall require, each or all of:

a) The software and associated Documentation described as "Shrink Wrapped Software" in Schedule 1 (and where the context also requires, the items, units or modules of them) which software being owned by the Vendor or a related company is licensed or sublicensed to the SSC or, being a third party product, is licensed directly to the SSC by the owner or authorised relicensor; and

For the purposes of Facilities Management Services, includes:

b) Such other shrink wrapped software which is not provided under the agreement but which the Parties agree shall be maintained by or through the Vendor under the agreement.

Software

"Software" means the Operating Systems, the Packaged Software, Packaged Software Modifications, the Shrink Wrapped Software, the Development Tools and the Custom Software.

Source Code

"Source Code" means the Packaged Software or the Custom Software (as the case may be) expressed in uncompiled or uninterpreted programming (human-readable) language encoded on any media;

Subcontractor

"Subcontractor" means a party who is directly responsible to the Vendor and not to the SSC for the satisfaction of the Requirements and who is material to the Proposal.

Suppliers

"Suppliers" means supplier of goods and services to any Agency through the System.

System

"System" means the Equipment, the Software, the Network, the Data and interfaces to Agencies' and Suppliers Operational Systems, all Networked together and operating in combination to satisfy the Requirements;

System Function

"System Function" means an atomic system function, defined as a function point using the Function Point Counting Practices Manual, International Function Point Users Group, version four, being an external input, an external output, or an external inquiry.

User

"User" means an authorised individual from an Agency, Supplier or service provider who uses the System as part of their work.

User Group

"User Group" means the category or class of User being one of:

a) An infrequent purchaser in participating government agencies (making one or two purchases per week);

b) A frequent purchaser in participating government agencies (making dozens of purchases per week);

c) A participating suppliers' order function staff;

d) A supplier's or agency's system administrator responsible for those system administration activities they are required to perform;

e) An auditor;

f) A procurement manager responsible for a wide range of contracts;

g) A procurement officer involved in the tendering process;

h) A budget/cost centre manager;

i) Local trainers; and

j) Prospective suppliers registering on the Tender and contract management module.

Vendor

"Vendor" means the Party who accepts responsibility for the Proposal and the satisfaction of the Requirements.

Version

"Version" means editions of the Custom or Package Software which exceed the scope of a Revision by, for example, introducing new functionality.
